Legal issue
The developer of the LCD "Lilies of the valley" is JSC SSMO "LenSpetsSMU". The construction is under the 214-FZ. After analyzing the standard contract for participation in shared construction (you can see at the end of the report), I saw the following nuances:
1. p.2.2. provides for the possibility of recalculating the cost of an apartment in case of a change in its area by more than 1 (one) sq.m., both up and down.
So when you change the area of \u200b\u200bthe apartment by 0.9 sq.m. downward recalculations will not be made. This change in the area of \u200b\u200bthe apartment may turn out to be significant for the shareholder, although money will not be returned to him.
2. clause 2.3. provides that in the case of a non-cash form of settlement, the Participant’s payment obligations are deemed fulfilled from the moment the ruble funds are credited to the account of the Developer.
When making payments in non-cash form, the shareholder needs to take into account the terms set by the bank for transferring funds from account to account.
3. p.2.6. stipulates that payment of a part of the Contract Price in the amount of (indicated amounts equal to 10% of the Contract Price) __________ (____________) rubles is carried out at own expense by offsetting the deposit in the manner and terms specified in clause 6.6. Of the contract.
The investor must understand the consequences of violation of obligations under the contract, namely the right of the Developer to keep a deposit to himself.
4. p. 2.8.1. stipulates that within 7 (Seven) calendar days from the date of signing the Agreement, the Interest-Shareholder opens an irrevocable (deposited) covered letter of credit in favor of the Developer. Clause 2.8.8 stipulates that the Interest-Payer pays a commission for settlement services using the letter of credit in accordance with the Bank's tariffs.
The shareholder is charged with additional costs for opening a letter of credit and settlements on it.
5. clause 2.8.15 stipulates that if, for reasons caused by the actions of the Developer, the latter does not receive money under the letter of credit before closing the letter of credit, although it has such an opportunity, the Interest-holder will not be considered late to pay the corresponding part of the price of the Agreement. In this case, however, the Shareholder will be obliged to pay it within 5 (five) business days after the expiration of the letter of credit, and if by this time the Agreement is not registered for any reason, then within 5 (five) business days from the moment actual receipt of the Agreement with a note on state registration. Otherwise, the Shareholder will be deemed to have violated the payment term.
The developer will not reimburse the shareholder for the costs of opening a letter of credit, despite the possibility of receiving funds from the letter of credit.
6. Clause 3.1.4. stipulates that on the day of the signing of this Agreement, the Shareholder must issue a notarized power of attorney to the representatives of the Developer for registration of the Agreement with the authorized registration authority, transmit to the Developer the receipt of payment of the state fee for registering the Agreement with the authorized registration authority, and also transfer other documents (including notarial spouse’s consent, notarial declaration of the absence of a registered marriage, etc.) required for state registration of this Agreement with the authorized registration authority. If this obligation is not fulfilled, the Interest-holder is deprived of the right, in the event of a dispute, to refer to the lack of registration of the Agreement.
